Note: If you are accessing our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. These Terms then apply to both you individually and that entity.
These Terms apply to all visitors, users, clients, carriers, brokers, and any other individuals or entities who access our website or engage with VaultLine Cargo in any capacity.
VaultLine Cargo provides freight brokerage, logistics coordination, customs brokerage, warehousing, and related supply chain services through our website, customer portal, and direct engagement with our team. Our services include, but are not limited to:
- Full Truckload (FTL) and Less Than Truckload (LTL) road freight across the 48 contiguous US states and cross-border to Canada and Mexico
- International air freight to and from 300+ airports worldwide
- Ocean freight (FCL and LCL) through major global trade ports
- Customs brokerage, import/export documentation, and ISF/AES/EEI filing
- Warehousing, distribution, fulfillment, and cross-docking services
- Supply chain consulting, carrier procurement, and cargo insurance
Our services are intended exclusively for commercial and business use. You must be at least 18 years of age and legally authorized to enter into contracts to use our services. Our platform and services are not intended for personal, household, or consumer freight.
VaultLine operates as a licensed freight broker (FMCSA-licensed) and Licensed Customs House Broker (CHB). In our capacity as freight broker, we arrange transportation through third-party carriers. In our capacity as CHB, we act as an authorized agent for customs clearance. The specific terms and responsibilities for each service type are detailed in separate service agreements provided at the time of booking.
To access certain features of our platform — including the shipment tracking portal, quoting tools, and document management — you may be required to create an account. By creating an account, you agree to the following:
- You will provide accurate, complete, and current information during registration and keep it updated
- You are responsible for maintaining the confidentiality of your login credentials
- You are solely responsible for all activity that occurs under your account
- You will notify VaultLine immediately at info@vaultlinecargo.com if you become aware of any unauthorized use of your account
- You will not share your credentials with any third party or allow multiple users to access the platform under a single account
VaultLine will never ask for your password via email, phone, or any other communication. If you receive such a request, treat it as fraudulent and contact us immediately.
We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms, involve fraudulent activity, or pose a security risk to our systems or other users.
All freight quotes provided by VaultLine Cargo are estimates only and are subject to change based on carrier availability, fuel surcharges, accessorial charges, dimensional weight recalculations, and other market factors. A quote does not constitute a binding offer until confirmed in writing by a VaultLine representative and a booking confirmation or shipment order is issued.
You agree that all information provided when requesting a quote or booking a shipment — including commodity descriptions, weight, dimensions, declared value, and any hazardous material classifications — is accurate and complete. You acknowledge that:
- Inaccurate or incomplete cargo information may result in additional charges, delays, or shipment refusal
- You bear sole responsibility for proper packaging, labeling, and documentation of your freight
- Dangerous goods must be declared in full compliance with IATA, DOT, and IMDG regulations, as applicable
- Payment terms are as specified in your account agreement or service invoice; standard payment is due within 30 days of invoice unless otherwise agreed
- Late payments may be subject to a 1.5% monthly finance charge or the maximum permitted by law, whichever is less
VaultLine reserves the right to place credit holds on accounts with outstanding balances and to require prepayment for services at our sole discretion.
You agree not to use our website, portal, or services for any of the following purposes:
- Shipping prohibited, controlled, sanctioned, or embargoed commodities under US or international law
- Providing false or misleading freight information, including misdeclaring hazardous materials
- Attempting to gain unauthorized access to our systems, databases, or other users' data
- Transmitting malware, spam, or any code that could harm our platform or other users
- Reverse-engineering, scraping, or data-mining our website or portal without express written permission
- Impersonating VaultLine staff, agents, or other clients
- Using our services in violation of any applicable local, state, federal, or international law or regulation
- Circumventing or attempting to circumvent our security measures or authentication systems
OFAC Compliance: VaultLine Cargo complies with all US sanctions programs administered by the Office of Foreign Assets Control (OFAC). We will not facilitate any transaction that involves a person, entity, or country subject to US sanctions, and we screen all shipments accordingly.
Violation of these prohibitions may result in immediate account termination, refusal of service, and referral to appropriate law enforcement authorities. VaultLine Cargo will cooperate fully with any government investigation related to freight compliance violations.
All content on the VaultLine Cargo website and portal — including but not limited to text, graphics, logos, icons, images, data compilations, and software — is the exclusive property of VaultLine Cargo LLC or its licensors and is protected under applicable US and international copyright, trademark, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our website and portal solely for your legitimate business purposes in connection with VaultLine's services. This license does not permit you to:
- Copy, reproduce, modify, or create derivative works from any VaultLine content
- Use VaultLine's name, logo, or trademarks without our prior written consent
- Publicly display, distribute, or transmit any portion of our platform content
- Use our platform or content for any commercial purpose other than engaging our logistics services
Any feedback, suggestions, or ideas you submit to VaultLine may be used by us freely without obligation of compensation, acknowledgment, or confidentiality.
VaultLine Cargo acts as a freight broker and not as a motor carrier, NVOCC, or direct freight carrier, except where expressly stated otherwise. As a licensed broker, VaultLine arranges transportation through third-party carriers. VaultLine's liability for loss, damage, or delay of cargo is expressly limited as follows:
- VaultLine's maximum liability for any claim arising from brokerage services shall not exceed the lesser of the actual loss or the freight charges paid for the affected shipment
- VaultLine is not liable for consequential, indirect, incidental, punitive, or special damages of any kind, including lost profits or business interruption
- Cargo liability is governed by the carrier's bill of lading and applicable tariffs; VaultLine strongly recommends all-risk cargo insurance for every shipment
- VaultLine is not responsible for delays caused by weather events, natural disasters, regulatory actions, customs holds, labor disputes, or other force majeure events
The VaultLine Cargo website and portal are provided "as is" without warranty of any kind. We do not warrant that our platform will be uninterrupted, error-free, or free of harmful components. Real-time tracking data is provided as-is and may not reflect instantaneous cargo status.
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
You agree to defend, indemnify, and hold harmless VaultLine Cargo LLC, its officers, directors, employees, agents, carriers, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation
- Inaccurate, incomplete, or fraudulent information provided to VaultLine or to customs authorities
- Improper packaging, labeling, or documentation of your freight
- Your shipment of prohibited, dangerous, or misdeclared goods
- Claims by third parties relating to cargo you tendered to VaultLine for transportation
- Your infringement of any intellectual property or other rights of any third party
VaultLine reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
These Terms and any dispute arising out of or related to them or VaultLine's services shall be governed by the laws of the State of Texas, USA, without regard to conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof (excluding claims for injunctive or other equitable relief) shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Houston, Texas, or by remote hearing. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any arbitration or legal proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the foregoing, either party may seek emergency injunctive relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. Freight claims subject to the Carmack Amendment or other federal regulations governing cargo liability shall be handled in accordance with applicable law.
Your use of our website and services is also governed by VaultLine Cargo's Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
Key elements of how we handle data in the context of logistics services:
- Shipment data (origin, destination, cargo details) is shared with carriers, customs authorities, and other parties required to execute your shipment
- We retain shipment records and documentation as required by US Customs regulations and applicable law
- We implement industry-standard security measures to protect your data, including encryption and access controls
- We will not sell your personal data or shipment information to unaffiliated third parties for marketing purposes

You may terminate your account at any time by contacting us at info@vaultlinecargo.com. Termination of your account does not relieve you of any payment obligations or liabilities incurred prior to termination.
